Scottish Ministers wish to appoint up to three new Members to the Board of Highlands and Islands Enterprise (HIE).  The appointments will be for three years from 1 April 2014.

HIE is the economic and community development agency for an area covering more than half of Scotland’s land mass, stretching from Shetland in the north to the southern tip of Argyll and including almost 100 inhabited islands.  In collaboration with other partners in the public sector, we aim to support the delivery of the Scottish Government’s stated purpose, “to create a more successful country, with opportunities for all of Scotland to flourish, through increasing sustainable economic growth”.  HIE has statutory powers to promote and assist economic development, enterprise, training, business competitiveness, strong communities, environmental improvement and international competitiveness and to advise Scottish Ministers on all related matters.  Further information on HIE is available on www.hie.co.uk.

Board Members are appointed by the Scottish Ministers in accordance with paragraph 5(a) of Schedule 1 of the Enterprise and New Towns (Scotland) Act 1990.  The appointments are made in line with the Code of Practice issued by the Commissioner for Public Appointments in Scotland.  The Chief Executive is also a full member of the Board.

Board Member Duties and Responsibilities

The Board have corporate responsibility for ensuring that HIE fulfil the aims and objectives set by the Scottish Ministers and for promoting the efficient and effective use of staff and other resources by HIE in accordance with the principles of Best Value as set out in the Scottish Public Finance Manual (SPFM).  To this end, and in pursuit of its wider corporate responsibilities, the Board shall:



  • establish the overall strategic direction of HIE within the policy, planning and resources framework determined by the Scottish Ministers;

  • ensure that the Scottish Ministers are kept informed of any changes which are likely to impact on the strategic direction of HIE or on the attainability of its targets, and determine the steps needed to deal with such changes;

  • ensure that any statutory or administrative requirements for the use of public funds (i.e. all funds falling within the stewardship of HIE) are complied with; that the Board operates within the limits of its statutory authority and any delegated authority agreed with the sponsor Directorate, and in accordance with any other conditions relating to the use of public funds; and that, in reaching decisions, the Board takes into account relevant guidance issued by the Scottish Ministers;

  • ensure that the Board receives and reviews regular financial information concerning the management of HIE; is informed in a timely manner about any concerns about the activities of HIE; and provides positive assurance to the sponsor Directorate that appropriate action has been taken on such concerns;

  • demonstrate high standards of corporate governance at all times, including by setting up and using an independent audit committee - in accordance with the guidance on Audit Committees in the SPFM - to help the Board to address the key financial and other risks facing HIE. The Board is expected to assure itself on the effectiveness of the internal control and risk management systems;

  • provide commitment and leadership in the development and promotion of Best Value principles throughout the organisation; and

  • appoint with the Scottish Ministers' approval a Chief Executive to HIE and, in consultation with the sponsor Directorate, set performance objectives and remuneration terms linked to these objectives for the Chief Executive which give due weight both to the proper management and use of public monies and to the delivery of outcomes in line with the Scottish Ministers' priorities.

Individual Board members shall act in accordance with their wider responsibility as Members of the Board - namely to:



  • comply at all times with the code of conduct for HIE www.hie.co.uk/board-members/conduct that is adopted by HIE and with the rules relating to the use of public funds, conflicts of interest and confidentiality;

  • not misuse information gained in the course of their public service for personal gain or for political profit, nor seek to use the opportunity of public service to promote their private interests or those of connected persons or organisations;

  • comply with the relevant Code of Conduct on the acceptance of gifts and hospitality, and of business appointments; and

  • act in good faith and in the best interests of HIE at all times.

Duties of individual board members will include the following:



  • contribute to consideration of key issues before the board;

  • support the Chief Executive, the Senior Management Team and wider HIE staff, ensuring that the values and standards expected are maintained at all times;

  • take responsibility for specific tasks, including representing the Board at events, as agreed with the Board and/or Chairman; and

  • to consistently demonstrate high standards of personal integrity and corporate governance.

  • recent financial and/or governance experience in the public, private or third sector;

  • experience of operating at a senior level in a public, private or third sector organisation;

  • experience of contributing to the economy or society in the Highlands and Islands; and

  • an understanding of the main drivers of the Highlands and Islands economy.

Remuneration


Members are paid £10,065 per annum, paid monthly, based on daily fee of £419 for an average of two days per month.  The appointments are non pensionable.

Time Commitment


Overall, it is anticipated that the appointment will involve a time commitment of two days per month after the induction phase.  This will include attendance at board meetings of which there are usually six per year.  In addition, you will be expected to devote appropriate preparation time ahead of each meeting.

Location of Meetings


Board meetings normally take place in Inverness, however, membership of the Board will involve an element of travel to a range of locations throughout the Highlands and Islands and, from time to time, elsewhere.  By accepting this appointment, you have confirmed that you are able to allocate sufficient time to meet the expectations of your role.
